Welcome to AlphaZip-AI Solutions ("we," "us," "our"). These Terms of Service ("Terms") govern your use of our website, software tools, AI coding agent, and related services (collectively, the "Services") located at alphazip-ai.com. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

AlphaZip-AI Solutions provides software development tools, downloadable utilities, and an AI-powered coding agent ("AI Agent"). The AI Agent uses artificial intelligence models provided by third-party providers (including Anthropic) to generate code, answer coding questions, and assist with software development tasks.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this requirement.

3. AI-Generated Content Disclaimer

This is a critical section. Please read carefully.

• All code and content generated by the AI Agent is provided "as-is" and "as-available" without any warranties of any kind, whether express, implied, or statutory.
• We make no guarantee that AI-generated code will be accurate, complete, secure, free of bugs, fit for any particular purpose, or free of intellectual property conflicts.
• You are solely responsible for reviewing, testing, debugging, and validating all AI-generated code before using it in any application, especially production environments.
• AI-generated code may contain errors, security vulnerabilities, or logic flaws. It is your responsibility to perform adequate code review and testing.
• We are not liable for any damages, losses, or consequences arising from the use of AI-generated code, including but not limited to data loss, security breaches, system failures, financial losses, or legal claims.

4. Acceptable Use Policy

When using the AI Agent and other Services, you agree not to:

• Generate code intended for illegal, harmful, or malicious purposes, including malware, viruses, exploits, phishing tools, or spyware.
• Attempt to bypass safety filters, rate limits, or security measures.
• Submit sensitive personal data, passwords, API keys, credit card numbers, or proprietary trade secrets to the AI Agent.
• Use the Services to infringe on the intellectual property rights of others.
• Use the Services for automated mass requests, scraping, or denial-of-service attacks.
• Resell, redistribute, or sublicense the AI Agent service itself without written permission.
• Use generated code in a way that violates any applicable law or regulation.

We reserve the right to suspend or terminate access for any user who violates this policy.

5. Intellectual Property

5a. Your Content

You retain ownership of the prompts and instructions you submit to the AI Agent. However, you grant us a limited, non-exclusive license to process your inputs for the purpose of providing the Services.

5b. Generated Code

Code generated by the AI Agent is provided to you for your use. However, please note:

• AI-generated code may resemble publicly available code, open-source projects, or code written by others. We do not guarantee the originality or uniqueness of generated code.
• You are responsible for ensuring that your use of generated code complies with applicable licenses and intellectual property laws.
• We make no representation that generated code is free of third-party intellectual property claims.

5c. Our Property

The AlphaZip-AI website, branding, user interface, and proprietary software remain our intellectual property. These Terms do not grant you rights to our trademarks, logos, or trade dress.

6. Third-Party AI Providers

The AI Agent relies on AI models provided by third-party companies, including Anthropic, Google, and OpenAI. By using the AI Agent, you acknowledge that:

• Your prompts and inputs may be transmitted to and processed by these third-party providers.
• Third-party providers have their own terms of service and privacy policies.
• We are not responsible for the actions, policies, or data practices of third-party AI providers.
• AI model availability, capabilities, and behavior may change without notice.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

8. Service Availability

• The Services are provided on an "as-available" basis. We do not guarantee uptime, availability, or uninterrupted service.
• We may modify, suspend, or discontinue any part of the Services at any time without prior notice.
• AI Agent sessions, generated files, and conversation history may be deleted at any time without notice.

9. Rate Limits and Usage Restrictions

The AI Agent is subject to rate limits and usage restrictions to ensure fair access for all users. These limits may change at any time. Exceeding rate limits may result in temporary or permanent access restrictions.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• AlphaZip-AI Solutions, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total aggregate liability for any claim related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is less.
• This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

11. Indemnification

You agree to indemnify, defend, and hold harmless AlphaZip-AI Solutions and its owners, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services or AI-generated code.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any code you deploy, distribute, or use in production environments.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13. Termination

We may terminate or suspend your access to the Services at our sole discretion, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately.
