Comprehensive Legal, Protection, Compliance, and End User License Master Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AND MASTER COMPLIANCE AGREEMENT (THE "AGREEMENT" OR "TERMS") EXTREMELY CAREFULLY. THIS AGREEMENT CONSTITUTES A LEGALLY BINDING, COMPREHENSIVE CONTRACTUAL AGREEMENT BETWEEN YOU (THE "LICENSEE", "USER", OR "YOU") AND ALPHAZIP-AI SOLUTIONS LLC, ITS FOUNDER, CREATOR, AND PRINCIPALS (COLLECTIVELY, THE "FOUNDER", "LICENSOR", "WE", "US", OR "THE PLATFORM").

By clicking "I Agree & Continue", accessing this website, downloading, installing, running, or otherwise utilizing any software applications, generative artificial intelligence agent suites ("Alphy"), three-dimensional rendering tools, mass-calculation metrology scripts, diagnostic engines, automated marketing templates, web interfaces, or custom-programmed software files provided directly or indirectly through alphazip.ai or its associated subdomains (collectively, the "Software" or "Services"), you explicitly acknowledge and warrant that you have read, fully comprehended, and unconditionally agree to be bound by every single clause, covenant, disclaimer, restriction, and obligation contained herein across all pages of this website, without exception. If you do not accept these terms, you must exit this website and immediately cease all utilization of any digital assets, files, or scripts related to this site.

1. Multi-Page Scope & Total Site Binding

This Master Agreement is unified, canonical, and fully cohesive across every single page, subdirectory, file path, template, tool, and script hosted under the AlphaZip-AI directory, including but not limited to the Home page, Tools & Downloads, AI Agent ("Alphy"), Plans And Credits matrices, and individual application pages (such as MY_BAD_CAD2, AlphaZip Pic Perfect, and diagnostic scripts). Acceptance of this Agreement on this Home page establishes a global legal contract that governs your interaction with all secondary pages, modules, local background listeners (including alphazip_public_listener.ps1), database states, and transactional functions. There are no partial exemptions; this is an indivisible, single legal master frame.

2. Proprietary End User License Agreement (EULA)

Subject to your strict and continuous compliance with all terms, AlphaZip-AI Solutions LLC grants you a highly restricted, personal, non-transferable, non-exclusive, fully revocable, limited license to run, execute, and locally interface with the Software solely for your private, non-commercial, or authorized internal business planning purposes.

• Severe Restrictions on Reverse Engineering: You are strictly, absolutely, and under penalty of law prohibited from decompiling, reverse engineering, disassembling, parsing, structural scraping, white-labeling, mapping, mirroring, or attempting to discover or extract the underlying proprietary source code, mathematical algorithms, constructive solid geometry (CSG) pipelines, metrology formulations, matrix translation matrices, or security schemas of any Software or background listener.
• Distribution and Commercial Restrictions: You shall not license, sell, lease, rent, redistribute, package, compile, export, or otherwise commercially exploit any compiled or uncompiled Software, CAD logic, or generative outputs generated here except as explicitly authorized in writing.
• Background Listener Usage: The provided PowerShell backgrounds, including but not limited to alphazip_public_listener.ps1, are proprietary diagnostic utilities designed for specific local port mapping. Execution of these listeners is completely at your own risk. You are prohibited from modifying the port mappings, intercepting outbound packets, or re-routing synchronization requests to third-party endpoints.

3. Absolute Disclaimers of Volumetric, Metrology & AI Warranties

THE PLATFORM AND SOFTWARE ARE PROVIDED ON AN "AS-IS", "WITH ALL FAULTS", AND "AS AVAILABLE" BASIS, WITHOUT REPRESENTATION, WARRANTY, OR GUARANTEE OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

Specifically, the volumetric calculations, mass estimations, geometric constructive solid models, physical metrology values, and Bill of Material (B.O.M.) estimates rendered, calculated, or outputted by our CAD engines, three-dimensional editors, or background sync matrices are generated purely for conceptual, theoretical, digital drafting, and planning purposes. They are mathematically approximated and do NOT constitute professional engineering, physical structural analysis, or certified manufacturing specifications. AlphaZip-AI Solutions LLC, its developers, and its founder assume absolutely ZERO RESPONSIBILITY OR LIABILITY for real-world mechanical defects, architectural failures, physical material structural collapses, financial manufacturing losses, tool-path errors, CNC machining damages, or personal injury resulting directly or indirectly from the real-world application, physical replication, 3D printing, or casting of any data, file, or asset exported from our Software.

Furthermore, the "Alphy" AI Coding Agent and all associated generative coding systems execute code synthesis through multi-model artificial intelligence routers. We make no warranty regarding the syntax accuracy, logical security, compilation compliance, or functional safety of any code produced by the AI Agent. You assume full engineering responsibility for auditing, reviewing, testing, and verifying any AI-synthesized outputs prior to compiling, executing, or distributing them.

4. Absolute Limitation of Liability & Complete Founder Immunity

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) SHALL ALPHAZIP-AI SOLUTIONS LLC, ITS DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR ITS FOUNDER (WAYNE HOPPER) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXTREME, OR EXEMPLARY DAMAGES OF ANY CHARACTER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, REVENUE LOSS, LOSS OF DATA OR SYSTEM INTEGRITY, COMPUTER OR HARDWARE SYSTEM COLLAPSE, PHYSICAL ASSEMBLY FAILURE, PROPERTY DAMAGE, INTELLECTUAL PROPERTY CLAIMS, STRIPE OR BILLING GATEWAY COMPROMISES, AUTOMATION OUTCOMES, BUSINESS INTERRUPTION, OR BODILY HARM.

In any event, our total maximum cumulative liability to you under this Agreement, across all pages and all transactions combined, is strictly and permanently capped at the total amount actually paid by you to the Platform within the ninety (90) days immediately preceding the event giving rise to such claim, or one hundred dollars ($100.00 USD), whichever is lesser. The existence of multiple claims or lawsuits will not expand or enlarge this cap. You agree that the Founder (Wayne Hopper) enjoys full, personal, absolute, and indivisible immunity from any individual litigation, liability, or financial claims arising from the operational states or features of this Software and website.

5. Strict Non-Refundable, Subscription, & Sponsorship Covenants

All financial transactions completed through the platform, including credit top-ups, recurring user subscriptions (Pro mode limits), API credit allotments, and official Sponsorship allocations (Top Sponsors and Micro Sponsors), are **one hundred percent (100%) non-refundable, non-voidable, and final**. By executing a payment, you explicitly wave any rights to file chargebacks or payment disputes with Stripe, PayPal, or your banking institution.

For sponsors: Your 1-Year Sponsorship placements are fully binding and non-refundable. You understand and agree that AlphaZip-AI makes zero guarantees regarding outbound click-through rates (CTR), incoming user volume, search engine ranking improvements, or business revenue generation resulting from the placements. Sponsorships cover a continuous, 365-day publication of your logo and website link, subject to our content policies. We reserve the absolute right to remove, suspend, or terminate any sponsorship placement without refund if the sponsor's target website redirects to illegal content, malicious software, hate speech, or explicit scams.

6. Internet Standards, Safety, & Acceptable Use Compliance

You warrant and covenant that your use of our platform, Software downloads, and generative engines will be in strict alignment with all applicable local, national, and international internet standards, regulations, and security frameworks. You are strictly prohibited from using our custom automation tools or background listeners to execute denial-of-service (DoS) campaigns, spread spyware or malicious binaries, conduct automated scraping of protected government databases, distribute spam marketing emails, or execute brute-force dictionary attacks. Violation of this Acceptable Use section leads to immediate termination of your licensing rights, account suspension, and report filing with cyber-crime enforcement divisions.

7. Privacy, Cookie Consent, & Data Compliance (GDPR, CCPA)

By using this website, you explicitly consent to our data collection protocols. We do not store raw IP addresses; instead, we employ strong 32-bit mathematical hashing algorithms to record anonymous returning visitor counts, unique session hits, and structural metrics. All account registrations are protected using strong hashing protocols. We utilize cookie structures and local storage objects (such as `global_eula_accepted` and session tokens) solely to maintain security states and prevent repetitive legal displays. This protocol complies fully with European Union (GDPR) and California (CCPA) privacy standards concerning non-personally-identifiable hashed markers.

8. Mandatory Binding Arbitration, Class-Action Waiver, and Venue

Any dispute, controversy, or claim arising out of, relating to, or in connection with this Agreement, including the breach, termination, validation, or structural applicability thereof, shall be settled exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

YOU EXPLICITLY AND UNCONDITIONALLY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. YOU FURTHER EXPLICITLY WAIVE ANY RIGHTS TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY COHORT, REPRESENTATIVE, OR CLASS-ACTION LAWSUITS against AlphaZip-AI Solutions LLC or Wayne Hopper. Arbitration shall be conducted on a strictly individual, case-by-case basis. The place of arbitration and governing jurisdiction shall be the home state and county of the Founder (Wayne Hopper).

9. Severability & Entire Agreement

If any provision, paragraph, or clause of this Master Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable under any statute or rule of law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full, unimpaired force and legal effect. This document represents the entire legal understanding and agreement between You and the Platform regarding the Software, downloads, and website use, completely superseding any prior verbal agreements, promotional materials, or informal correspondences.
